Vimeo, the popular video platform for businesses, is set to undergo a major shift after announcing its definitive agreement to be acquired by Bending Spoons, one of Europe’s leading mobile app developers.
The all-cash transaction, valued at approximately $1.38 billion, will see Vimeo shareholders receive $7.85 per share, representing a 91% premium over its recent 60-day volume-weighted average trading price. The deal is expected to close in the fourth quarter of 2025, pending customary closing conditions, shareholder approval, and regulatory approvals.
Following the close, Vimeo will be delisted from public stock exchanges.
A pattern of acquisitions
Bending Spoons has closed a total of €1 billion in funding, including the €500 million debt received recently and $340 million raise in 2022.
The Italian firm has built a reputation for acquiring well-established digital platforms and investing in their growth and innovation. Its portfolio already includes Brightcove, Evernote, Meetup, komoot, Remini, and WeTransfer, serving hundreds of millions of users worldwide.
With Vimeo, Bending Spoons aims to extend this strategy, focusing on expanding Vimeo’s offerings across all segments, including self-serve customers, OTT streaming via Vimeo Streaming, and enterprise solutions.

Vimeo’s new chapter
Founded in 2004 and led by CEO Philip Moyer, Vimeo initially thrived as a creative alternative to YouTube, catering to filmmakers and independent creators. The platform later shifted focus towards professional tools for businesses and enterprises, carving out a unique niche in video hosting, streaming, and distribution.
In 2021, Vimeo spun off from its parent company, IAC and began trading independently. Since then, the company has faced challenges, including increased competition, resulting in a significant decline in its stock value. Bending Spoons’ acquisition promises to accelerate Vimeo’s strategic roadmap with ambitious investments in performance, reliability, advanced product features, and AI-enabled innovations.

The transaction is anticipated to close in Q4 2025, subject to approvals. Upon closing, Vimeo will transition to a privately held company, continuing its mission to be the most innovative and trusted video platform for businesses worldwide.
