Amsterdam-based Nebius Group is making bold moves to cement its position as a key player in the AI infrastructure race. Just days after announcing a multi-billion-dollar contract with Microsoft, the company revealed plans to raise $3 billion in fresh capital to accelerate its expansion strategy.
Nebius’ financing package is structured in two parts: $2 billion in convertible notes and $1 billion in Class A shares through a public offering. Of the notes, $1 billion will mature in 2030, while the remaining tranche will be due in 2032.
The company intends to deploy the proceeds toward expanding its global data centre footprint, boosting compute power, and securing high-value land plots for future facilities.
This fundraising push is aimed at meeting soaring demand for AI-dedicated infrastructure. With cloud and enterprise clients requiring ever-greater GPU capacity to train and run advanced models, Nebius is racing to scale its capacity and stay ahead of rivals in what has become one of the most competitive sectors in technology.
A $20B Microsoft partnership
The timing of the raise comes on the heels of a transformative deal with Microsoft. Earlier this week, Nebius confirmed a five-year agreement to supply dedicated GPU infrastructure capacity from a newly built data centre in Vineland, New Jersey.
Regulatory filings place the contract’s value at $17.4 billion through 2031, with the possibility of expanding to $19.4 billion if Microsoft chooses to add more services and capacity. For Nebius, this marks not just a massive revenue stream but also a stamp of credibility from one of the world’s largest tech giants. The partnership strengthens Microsoft’s AI cloud capabilities while providing Nebius with long-term visibility and financial stability.
Market response and strategic momentum
Investors have reacted with clear enthusiasm. Following the announcements, Nebius’ Nasdaq-listed shares surged more than 49 per cent to reach an all-time high. Year-to-date, the stock has climbed an extraordinary 245 per cent, underscoring the market’s belief in the company’s growth trajectory.
This fundraising and contract win highlight Nebius’ strategy of building out advanced infrastructure at scale to power the next generation of AI applications. With capital-intensive projects like data centres requiring billions upfront, securing financing and long-term partnerships has become essential for survival and growth in this sector.
By combining a sizable public offering with debt instruments tied to future growth, Nebius is positioning itself to capture both investor confidence and operational flexibility. The deal with Microsoft gives it a guaranteed anchor client, while the funding will fuel expansion into additional geographies and hardware capacity.
