Hexagon to acquire Waygate Technologies in $1.45B deal to help manufacturers find hidden defects

Hexagon AB plans to buy Waygate Technologies from Baker Hughes for about $1.45 billion in cash, reports Bloomberg. The deal is expected to close in the second half of 2026, if regulators approve it.

Waygate Technologies has a long history in industrial inspection, with roots dating back over 125 years through brands such as Krautkrämer, Seifert, and phoenix|x-ray. It began as GE Inspection Technologies in 2004, joined Baker Hughes after GE merged its Oil & Gas business with them in 2017, and was renamed Waygate in 2020.

Headquartered in Hürth, Germany, Waygate has about 1,500 employees across 25 locations. The company serves customers in aerospace, automotive, energy, and industrial manufacturing with CT scanning, digital radiography, remote visual inspection, and ultrasonic testing.

Hexagon AB, founded in 1975 and based in Stockholm, is a global leader in precision measurement. The company has about 24,800 employees and €5.4 billion in annual sales. Its Manufacturing Intelligence division measures the exterior of components, including size, surface characteristics, and tolerances.

Waygate focuses on inspecting the inside for cracks, voids, and hidden defects using CT and ultrasonic methods. By joining forces, they will enable customers to inspect both the exterior and interior of parts on a single platform, a unique offering among large NDT competitors.

For Baker Hughes, selling Waygate is part of its business simplification. The Houston-based energy technology company is now focusing on rotating equipment, flow control, digital solutions, production optimisation, and decarbonisation, all of which are closely linked to its core energy business.

Although Waygate is a leader in the NDT market, it does not match these priorities. The $1.45 billion from the sale will help Baker Hughes invest in its main objectives.
