Cohere merges with Aleph Alpha at $20B valuation to create transatlantic sovereign AI challenger

Cohere and Aleph Alpha announced they will merge to create a transatlantic AI company valued at around $20 billion, and within hours, one of Europe’s largest retailers committed $600 million to back the new company, reports CNBC.

Schwarz Group, which co-led Aleph Alpha’s $500 million Series B in 2023, is committing $600 million to Cohere’s upcoming Series E, expected to close later in 2026.

Cohere’s shareholders will receive approximately 90% of the combined entity, with Aleph Alpha’s shareholders receiving 10%, making this effectively a Cohere acquisition dressed in merger language that better suits the political ambitions surrounding it. Financial terms were not disclosed by the companies.

Together, the combination pairs Cohere’s R&D engine and enterprise go-to-market capabilities with Aleph Alpha’s European public-sector relationships and regulatory credibility.

The announcement was made in Berlin with Germany’s Digital Minister Karsten Wildberger and Canada’s AI and Digital Innovation Minister Evan Solomon both in attendance. The German government is expected to become an anchor customer for the combined group.

The combined company will operate under the Cohere brand with dual headquarters in Toronto and Germany. Its rivals, including OpenAI, Anthropic, and Google, are targeting the same enterprise and government customers.

In a market where GDPR compliance, data residency, and independence from the US Cloud Act are becoming genuine procurement criteria, political legitimacy may prove as valuable as product capability.
