Fractal Analytics, the Mumbai-based artificial intelligence and analytics powerhouse, has filed its Draft Red Herring Prospectus (DRHP) with India’s market regulator SEBI for an initial public offering worth ~$588 million. The listing could value the company north of $3.5 billion, making it a landmark moment for India’s booming AI sector.
Founded in 2000 by Srikanth Velamakanni and Pranay Agrawal, Fractal has spent over two decades delivering AI-powered decision-making systems to some of the world’s largest corporations. Its clients include Microsoft, Apple, Nvidia, Alphabet, Amazon, Meta and Tesla, operating across consumer goods, retail, technology, healthcare, and financial services.
Offer structure and potential pre-IPO placement
The offering will include a fresh issue of shares worth around $153 million and an offer for sale valued at roughly $434 million. The major selling shareholders are Quinag Bidco Ltd, an Apax Partners affiliate, exiting approximately $175 million; TPG Fett Holdings Pte. Ltd, offloading close to $240 million; Satya Kumari Remala and Rao Venkateswara Remala, selling about $3.5 million; and the GLM Family Trust, selling around $15.5 million.
The issue will follow India’s book-building format, with 75 per cent of the shares allocated to qualified institutional buyers, 15 per cent to non-institutional investors and 10 per cent to retail buyers. Five per cent of the post-IPO equity will be reserved for eligible employees. Fractal, alongside its lead managers: Kotak Mahindra Capital, Morgan Stanley India, Axis Capital, and Goldman Sachs India, may also conduct a pre-IPO placement of up to roughly $3 million before lodging the prospectus with the Registrar of Companies.
Use of proceeds to fund Fractal Analytics expansion and innovation
Fractal plans to use the fresh capital to repay debt in its U.S. subsidiary, purchase technology infrastructure and laptops, establish new offices in India, and increase investment in research and development. Particular focus will go to its generative AI capabilities and Fractal Alpha suite, alongside an expanded sales and marketing push.
The company will also pursue inorganic growth opportunities such as acquisitions and other strategic initiatives, with remaining funds earmarked for general corporate purposes.
