Cognition raises $500M at nearly $10B valuation following Windsurf acquisition

Cognition has secured nearly $500 million in Series C funding, valuing the company at $9.8 billion, according to reports. The round was led by Founders Fund and shows the growing investor appetite for next-generation AI coding tools. This fundraising milestone arrives just a month after Cognition acquired rival Windsurf, a deal that capped one of the most turbulent episodes in recent Silicon Valley history.

The new valuation marks a dramatic jump for Cognition. Earlier this year, the company had raised $300 million at a $4 billion valuation. It was reported that the latest financing more than doubled Cognition’s worth in just months, highlighting the high-stakes race to define the future of AI-driven software development.

The Windsurf acquisition deal

Windsurf was initially set to be acquired by OpenAI for $3 billion. However, tensions with Microsoft over intellectual property derailed the agreement. Shortly afterward, Google executed a $2.4 billion reverse acqui-hire, taking on Windsurf’s CEO Varun Mohan and several key researchers while licensing its technology. This left 250 employees stranded until Cognition stepped in with a weekend rescue deal.

The Windsurf acquisition brought with it $82 million in annual recurring revenue (ARR) and more than 350 enterprise customers, as well as an AI-native IDE that fit neatly with Cognition’s vision. Yet, just three weeks after the deal, Cognition offered buyouts to around 200 Windsurf employees. This move indicated that the acquisition was primarily motivated by Windsurf’s intellectual property rather than its workforce.

Betting big on Devin

Cognition was founded in late 2023 by a team of competitive programming champions – Scott Wu, Steven Hao, and Walden Yan. The company is best known for its autonomous AI software engineer, Devin. Unlike traditional code-completion tools, Devin is designed to manage entire projects, from running tests to delivering finished products.

The company claims enterprise customers, including Goldman Sachs and Nubank, though its revenue has been limited compared to its valuation. As of early 2025, Cognition’s own ARR was estimated between $180,000 and $360,000. The Windsurf acquisition has now added significant revenue streams and expanded its customer base.

Cognition’s co-founder and CEO Scott Wu emphasised that the deal would accelerate the company’s mission of building the future of software engineering. With Windsurf’s AI-native IDE integrated into its platform, Cognition hopes to strengthen Devin’s ability to serve as a comprehensive engineering assistant.

Shifting market dynamics

The AI coding market has rapidly become a battleground. Microsoft’s GitHub Copilot already generates over $500 million annually, while rival Cursor has also scaled to comparable ARR using an agent-based approach. Cognition is betting heavily on this shift. By developing tools that aim to handle full production codebases, the company is positioning Devin not just as an assistant but as a potential replacement for traditional development workflows. Its latest funding round ensures it has the capital to compete with tech giants like Microsoft and Google, both of which are aggressively pushing into the space.

What does it mean?

At $9.8 billion, the company’s worth far outpaces its current revenue base. Investors, however, appear convinced that autonomous software development will reshape a market estimated to be worth over $500 billion globally. For now, the company has substantial resources, a strengthened product suite, and high-profile backers willing to bet on its vision. The challenge ahead lies in proving that Devin can consistently deliver reliable performance at enterprise scale.
